Who can use Stock2Swap

Stock2Swap is intended for restaurants, food-service businesses, and their authorized employees. You must be at least 18 years old and authorized to act on behalf of the restaurant you register. You are responsible for the activity of any account you create and for keeping your password confidential.

Your account and content

You retain ownership of the inventory listings, photos, messages, and other content you submit. You grant Stock2Swap a worldwide, non-exclusive license to host, display, and transmit that content solely to operate and improve the Service. You are responsible for ensuring that any content you upload is accurate and that you have the right to share it.

Exchanges between restaurants

Stock2Swap provides a venue for restaurants to discover one another and arrange exchanges of ingredients — including swaps, credit/IOU arrangements, and direct payments. The actual handoff, quality of the goods, and any obligations between restaurants are between the participating restaurants alone. Stock2Swap is not a party to any exchange and does not warrant the quality, safety, or legality of any ingredients exchanged.

You agree to handle and transport food in compliance with all applicable health, safety, and food-service regulations in your jurisdiction.

Payments

When restaurants pay one another through the Service, payments are processed by Stripe, Inc. By using the payment features you also agree to Stripe’s terms. Stock2Swap may charge transaction or platform fees, which will be disclosed before you confirm a payment.

Acceptable use

You agree not to:

• Misrepresent your restaurant or impersonate another business.
• List unsafe, expired, or illegally sourced ingredients.
• Use the Service to harass, threaten, or harm other users.
• Reverse engineer, scrape, or attempt to disrupt the Service.
• Use the Service for any purpose other than legitimate restaurant-to-restaurant exchange.

We may suspend or terminate accounts that violate these Terms or create risk for other users.

Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Stock2Swap disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that any exchange will be completed successfully.

Limitation of liability

To the maximum extent permitted by law, Stock2Swap and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising from the Service will not exceed one hundred US dollars ($100).

Termination

You may delete your account at any time from the in-app Settings screen. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability) will continue to apply.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the effective date above and notify active users in-app. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Davidson County, Tennessee.
